Waitlist Program Terms

By joining the BuddyBuddy Zurich waitlist (“Program”), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, do not join the waitlist.

1. Program Overview

The BuddyBuddy Waitlist Referral Program is a promotional initiative operated by BuddyBuddy (the “Company”) to build awareness ahead of the app’s Zurich launch. Participants may earn points by referring others to join the waitlist. Points determine tier status, and each tier is associated with certain promotional benefits as described below.

This Program is not a contract for services, an employment agreement, a partnership arrangement, or an investment opportunity. Participation in the Program does not create any legal relationship between the participant and the Company beyond these Terms.

2. Eligibility

  • You must provide a valid, personal email address to participate. Corporate, disposable, or shared email addresses may be rejected.
  • One account per person, per email address. Duplicate accounts will be removed without notice.
  • You must be at least 16 years old to participate.
  • Employees, contractors, and immediate family members of BuddyBuddy are not eligible for rewards.

3. Earning Points

  • You earn 1 point for joining the waitlist.
  • You earn 5 points for each unique, verified person who joins the waitlist using your personal referral link.
  • The following actions constitute fraud and will result in immediate disqualification, point revocation, and removal from the Program:
    • Self-referrals or signups using multiple email addresses
    • Bot-generated, automated, or scripted signups
    • Signups obtained through misleading, deceptive, or coercive means
    • Purchasing or incentivizing signups with money or gifts outside this Program
  • BuddyBuddy reserves the sole right to determine what constitutes a valid referral and to audit, adjust, or revoke points at any time without prior notice.
  • Point balances are informational only and do not constitute currency, credit, property, or any form of stored value.

4. Promotional Benefits (“Rewards”)

4.1 Nature of Rewards

All rewards described in the Program (including but not limited to Pro/Premium subscription grants, badges, event invitations, event boosting, featured profiles, and gifts) are promotional benefits provided at the Company’s sole discretion. They are:

  • Not guaranteed. All rewards are contingent on the Company being active, operational, and sufficiently funded at the time of fulfillment. BuddyBuddy is a pre-launch startup that has not yet received external funding. Rewards can only be honoured if the Company has the resources to do so.
  • Not contractual obligations. The description of rewards constitutes a promotional indication, not a binding offer or contract.
  • Subject to change. The Company reserves the right to modify, substitute, or discontinue any reward at any time, for any reason, with or without notice.
  • Non-transferable. Rewards cannot be assigned, sold, exchanged, or transferred to any other person or account.
  • Non-cashable. Rewards have no cash value and cannot be exchanged for money, credit, cryptocurrency, equity, or any other form of consideration.

This tier schedule is subject to change as described in Section 4.1 above.

4.2 Launch Party and Events

  • “Launch party invite” (Buddy tier) is an invitation to an in-person event in Zürich organised by the Company around the time of the app’s launch. Attendance is subject to venue capacity and availability.
  • The Company reserves the right to modify event formats, dates, or locations, or to cancel events if circumstances require.
  • No travel, accommodation, or other expenses are covered by the Company.

4.3 Badges, Status, and Exclusive Events

  • Status badges (Zurich Early Bird, Zurich Leader, Zurich Founder) are in-app indicators that also grant access to exclusive, members-only events organised by BuddyBuddy in Zürich. Higher-tier status badges may grant access to more exclusive events.
  • Exclusive events are organised at the Company’s sole discretion and are subject to availability, venue capacity, and scheduling. The Company does not guarantee a minimum number of events or specific event formats.
  • Badges and profile features (e.g., “featured profile”) are cosmetic, in-app indicators with no monetary value beyond the event access described above.
  • The Company may modify the appearance, visibility, availability, or event access associated with badges at any time.

4.4 Gifts

  • “Secret gift,” “very secret gift,” “supersecret gift,” and “final boss secret gift” are surprise rewards whose nature and value are at the Company’s sole discretion. They carry no guaranteed monetary value and may be symbolic, experiential, or digital in nature. The playful naming reflects the spirit of the rewards — they are intentionally undisclosed until fulfilment.
  • “Hug (will happen)” is a light-hearted, symbolic gesture. It carries no monetary value.
  • “All your events boosted” (Partner tier) means increased visibility of a participant’s events in the app’s discovery feed for a maximum of 3 years from launch date. It does not include paid advertising, social media promotion, or any promotion outside the BuddyBuddy app.
  • The Company reserves the right to decline to boost any event that violates the app’s Community Guidelines or that the Company deems inappropriate at its sole discretion.
  • “Featured profile” means increased visibility of a participant’s profile in the app. The specific implementation may evolve as the app develops.

4.6 Dinner with Founders

  • “Free dinner with founders” (Ambassador tier) is a single dinner event with the founding team in Zürich. It does not constitute a binding partnership offer or commitment. No travel, accommodation, or other expenses are covered.

4.7 Top 5 Ranking Prize — Final Boss Secret Gift & Discounted Equity Offer

  • The top 5 participants by points at the time of the official Zurich launch receive a final boss secret gift and a discounted equity offer, as described below.
  • The discounted equity offer is a non-binding expression of intent by the founder. It means the founder intends to offer the top 5 participants an opportunity to acquire equity in the Company at a discounted price, as a way of recognising and rewarding their exceptional contribution to the community. However:
    • This is not a binding commitment, promise, or guarantee to sell equity, shares, options, or any securities.
    • The specific terms, structure, pricing, discount, instrument type (which may include shares, phantom options, stock appreciation rights, or other instruments), and availability of any equity offer are entirely at the founder’s sole discretion.
    • Any equity offer is contingent on the Company being legally incorporated as a Swiss entity (AG or GmbH), being sufficiently funded, and the founder determining that such an offer is feasible and appropriate given the Company’s legal, regulatory, and business circumstances.
    • If for any reason the founder determines that an equity offer is not feasible or appropriate, no equity offer will be made, and participants shall have no claim against the Company or the founder.
    • Any actual equity transaction would require a separate, written agreement negotiated and signed by both parties, subject to all applicable securities laws and regulations.
  • Ranking is determined by total points accumulated, with ties broken by earliest signup date.
  • The founder reserves the right to decline any arrangement for any reason, including but not limited to regulatory, legal, or business considerations.

5. Conditional on Company Viability

All rewards in this Program are conditional on the Company being active, operational, and funded at the time of fulfillment.

  • BuddyBuddy is a pre-launch startup. It has not yet received external funding and there is no guarantee that it will.
  • If the Company ceases operations, fails to launch, or lacks sufficient funding, some or all rewards may not be fulfilled. In such a case, participants shall have no claim against the Company, its founder, or any related party.
  • The Company will make reasonable efforts to communicate any material changes to the Program to participants via email.

6. No Equity, Revenue Sharing, or Financial Obligations

This section is of particular importance. Please read carefully.

  • Except as described in Section 4.7 (Top 5 Ranking Prize), participation in this Program does not entitle any participant to equity, shares, stock options, revenue sharing, profit sharing, royalties, commissions, or any other financial interest in BuddyBuddy or any related entity, regardless of tier achieved or number of referrals made.
  • The Top 5 Ranking Prize described in Section 4.7 is a non-binding expression of intent to offer an opportunity to discuss and potentially acquire equity at a discount, not a commitment to provide equity, shares, or any financial instruments. No equity, shares, or securities are promised, guaranteed, or owed as a result of participation in this Program.
  • No communication from the Company — whether in email, on the website, on social media, or in any other medium — shall be construed as an offer of securities, an investment opportunity, or a solicitation of any kind.
  • The Partner tier or any other tier does not create a partnership, joint venture, agency, franchise, or employment relationship between the participant and the Company.
  • If the Company independently chooses to pursue a commercial relationship with any participant, such an arrangement would require a separate, written agreement negotiated and signed by both parties, and would be entirely independent of this Program.

7. Program Modifications and Termination

  • The Company reserves the right to modify, suspend, or terminate the Program at any time, for any reason, with or without notice, including but not limited to changes in business strategy, legal requirements, or abuse of the Program.
  • In the event of Program termination:
    • The Company will make reasonable efforts to honor rewards that have already been activated (e.g., an active Pro subscription grant).
    • Unactivated rewards (i.e., rewards for tiers reached but not yet redeemed at launch) may be cancelled without compensation.
    • No participant shall have any claim against the Company for unactivated rewards following Program termination.
  • The Company may modify point thresholds, tier names, tier requirements, and associated rewards. Material changes will be communicated via email to active participants.
  • By joining the waitlist, you consent to receiving communications from BuddyBuddy via email and, if you have provided your phone number, via SMS or push notification. These communications may include:
    • Transactional messages: signup confirmation, referral notifications, account-related alerts
    • Program updates: weekly digests, point and tier changes, leaderboard updates
    • Product and launch announcements: app launch notifications, new feature announcements, product updates, and related news
    • Promotional messages: event invitations, special offers, surveys, and other marketing communications related to BuddyBuddy
  • Standard message and data rates may apply for SMS. Message frequency varies.
  • You can unsubscribe from non-transactional communications at any time using the unsubscribe link included in every email, or by replying STOP to any SMS. Transactional messages (e.g., account security, legal notices) may still be sent as required.
  • Unsubscribing from marketing communications does not remove you from the waitlist or forfeit your points. To fully withdraw from the Program and stop all communications, email support@buddybuddy.ch.

9. Data Protection and Privacy

  • Your personal data (email address, referral data, point balance, signup timestamp) is processed in accordance with the Swiss Federal Act on Data Protection (FADP) and our Privacy Policy.
  • Data is stored on Google Cloud Platform servers and is not shared with, sold to, or disclosed to any third parties, except as required by law.
  • You have the right to access, correct, or request deletion of your personal data at any time by emailing support@buddybuddy.ch. Deletion of your data will result in removal from the Program and forfeiture of all points and rewards.

10. Disclaimer of Warranties

THE PROGRAM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE PROGRAM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT REWARDS WILL BE AVAILABLE AS DESCRIBED.

11. Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO PARTICIPATION IN THE PROGRAM.
  • THE COMPANY’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS RELATED TO THE PROGRAM SHALL NOT EXCEED CHF 50 (FIFTY SWISS FRANCS).
  • This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if the Company has been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless BuddyBuddy and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your participation in the Program, your violation of these Terms, or your referral activities.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms constitute the entire agreement between you and BuddyBuddy regarding the Program and supersede all prior communications, representations, and understandings, whether oral or written. No statement made by the Company in promotional emails, on social media, or on the website shall be deemed to modify these Terms unless explicitly stated as a “Terms Update” with a revised “Last updated” date.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the substantive laws of Switzerland, without regard to conflict of law principles. Any dispute arising from or relating to the Program or these Terms shall be subject to the exclusive jurisdiction of the competent courts of the City of Zurich, Switzerland.
